Please read these Terms of Service (“Terms”) carefully before using ClauseForge (“the Service”), operated by ClauseForge, Inc. (“Company,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.
1. Description of Service
ClauseForge is an AI-assisted legal document drafting platform that generates first-draft legal documents including Non-Disclosure Agreements, Engagement Letters, Demand Letters, and other legal instruments. The Service is designed to assist licensed attorneys and legal professionals in drafting documents for their review and use.
2. No Attorney-Client Relationship; Not Legal Advice
ClauseForge is not a law firm and does not provide legal advice. The documents generated by the Service are AI-produced drafts intended solely as a starting point for review by a licensed attorney. No attorney-client relationship is formed by your use of the Service or receipt of any document generated through it.
You agree that the Service does not constitute and should not be relied upon as legal advice, legal opinion, or a substitute for the advice of qualified legal counsel. You are solely responsible for reviewing, modifying, and approving any document before use, and for ensuring that any document meets the requirements of applicable law and the specific circumstances of your matter.
3. Use of AI-Generated Content
Documents generated by ClauseForge are produced by artificial intelligence models and may contain errors, omissions, or language that is inappropriate for your jurisdiction or specific situation. By using the Service, you acknowledge and agree that:
- All AI-generated documents must be reviewed by a qualified attorney before use.
- ClauseForge makes no warranties regarding the accuracy, completeness, or fitness for a particular purpose of any generated document.
- You assume all risk associated with the use, modification, or reliance on any document generated through the Service.
- AI-generated content may reflect training data with a knowledge cutoff and may not reflect recent changes in law.
4. Eligibility and Account Registration
The Service is intended for use by licensed attorneys, law students, paralegals, and legal professionals in good standing. You must be at least 18 years of age to create an account. By creating an account, you represent that the information you provide is accurate and complete, and you agree to maintain the security of your account credentials. You are responsible for all activity that occurs under your account.
5. Subscription Plans and Billing
ClauseForge offers both a free tier and paid subscription plans (“Starter” and “Pro”). Paid subscriptions are billed monthly or annually in advance via our payment processor, Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis at the then-current subscription rate.
We reserve the right to change subscription pricing with thirty (30) days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing. Taxes may apply depending on your location and will be added to your invoice as required by applicable law.
6. Refund Policy
All subscription fees are non-refundable. We do not offer refunds or credits for partial subscription periods, unused document credits, or plan downgrades. If you cancel your subscription, you will retain access to paid features through the end of your current billing period, after which your account will revert to the free tier. We may, at our sole discretion, offer refunds in exceptional circumstances.
Free trial users who have not incurred charges will not be billed unless they affirmatively subscribe to a paid plan.
7. Intellectual Property
You retain ownership of the content you provide as input to the Service (“Input”) and the documents generated for you (“Output”). By submitting Input, you grant ClauseForge a limited, non-exclusive license to process your Input for the purpose of providing the Service. We will not use your specific Input or Output to train AI models without your explicit consent.
The ClauseForge platform, including its software, design, trademarks, and proprietary AI systems, is owned by ClauseForge, Inc. and protected by applicable intellectual property laws. You may not copy, modify, or reverse-engineer any part of the Service.
8. Prohibited Uses
You agree not to use the Service to:
- Generate documents intended to defraud, deceive, or harm any person or entity.
- Engage in unauthorized practice of law or provide legal advice to third parties without a license.
- Violate any applicable federal, state, or local laws or regulations.
- Attempt to circumvent usage limits, access controls, or billing systems.
- Resell or redistribute access to the Service without prior written consent.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLAUSEFORGE, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE OR ANY DOCUMENT GENERATED THROUGH IT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO CLAUSEFORGE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DOCUMENTS GENERATED WILL BE LEGALLY ENFORCEABLE OR APPROPRIATE FOR YOUR USE CASE.
11. Changes to Terms
We may update these Terms at any time by posting the revised version on our website with an updated “Last updated” date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms. We will provide notice of material changes via email or through the Service.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.
